Bio
Mike’s practice focuses on business transactions, corporate finance and securities, mergers and acquisitions, commercial contract matters, and general corporate law. Prior to joining the firm, Mike was a partner at Wall Babcock LLP and previously was a partner with two large international law firms.
He received a J.D. degree from the University of North Carolina at Chapel Hill in 1990 and a B.S. in Business Administration degree from the University of Central Florida in 1978. Prior to law school, Mike was a Certified Public Accountant and worked for an international public accounting firm performing and supervising audits of public companies.
Mike has extensive experience representing companies of all sizes with respect to mergers, acquisitions, and dispositions. He has prepared and reviewed Securities Exchange Act periodic reports for both NYSE and NASDAQ listed companies. Mike also devotes a significant portion of his practice to advising clients on entity formation, debt and equity financing, and the structure and formation of joint ventures and has advised both public and private companies on a wide range of issues related to corporate governance.

- Represented a family-owned national distributor of telecommunications and broadband network products in connection with its sale to a private equity-backed strategic buyer.
- Advised independent insurance agencies in connection with sales and succession transactions
involving private equity-backed acquirers. - Represented a family-owned international specialty oils supplier in a recapitalization and
refinancing transaction designed to support continued growth and operations. - Counseled a corporate venture capital investor in connection with investments in emerging
growth companies across a variety of industries. - Served as outside general counsel to businesses of varying sizes, advising on commercial
contracts, debt and equity financing transactions, employment matters, and day-to-day legal
issues.
